1. Introduction

Welcome to InnoSolve Solutions Pvt. Ltd. (“InnoSolve,” “we,” “our”). By engaging any consultancy, AI-integration, or software-development services (“Services”) you (“Client”) agree to these Terms & Conditions (“Terms”).

2. Scope of Work (SOW)

Each project is governed by a signed Statement of Work detailing objectives, deliverables, timelines, and fees. If the SOW conflicts with these Terms, the SOW prevails.

3. Delivery of Services

  1. Digital Deliverables : reports, analyses, code artefacts, or other agreed files are delivered electronically.
  2. Timeline : unless otherwise stated, final deliverables arrive within five (5) business days of milestone approval.
  3. Interim Builds : shared at scheduled sprint reviews for multi-phase projects.

4. Acceptance & Re-work

  1. Client has three (3) business days after milestone delivery to report project defects.
  2. Verified defects are corrected and redelivered within three (3) business days at no extra cost.
  3. Enhancements or new requirements are quoted separately.

5. Refunds

  1. If a deliverable is unusable due solely to our fault and cannot be fixed via re-work, a refund may be requested within 3 calendar days of receipt.
  2. Approved refunds are processed to the original payment method within five (5) business days.

6. Pricing & Payment

  1. Payment structure is agreed case-by-case in the SOW.
  2. Invoices follow the agreed milestone schedule and are payable on the stated due date.
  3. Late payments may incur a 2 % monthly fee or the maximum legal rate.

7. Intellectual Property

  1. Bespoke reports, analyses, or code become the Client’s IP upon full payment.
  2. Pre-existing libraries/tools remain InnoSolve’s property and are licensed for project use.

8. Confidentiality

Both parties must keep non-public business, technical, and personal information confidential.

9. Warranties and Disclaimers

We warrant Services conform to the SOW at delivery. Otherwise, Services are provided “as is” without further warranties.

10. Limitation of Liability

Our liability shall not exceed the fees paid for the milestone giving rise to the claim.

11. Indemnity

Client indemnifies InnoSolve against third-party claims arising from Client-provided data or misuse of deliverables.

12. Force Majeure

Neither party is liable for delays caused by events beyond reasonable control (e.g., natural disasters, internet outages).

13. Governing Law & Jurisdiction

These Terms are governed by Indian law. Courts in Cooch Behar, West Bengal have exclusive jurisdiction.

14. Changes to Terms

Project changes will be posted here at least 14 days before taking effect.
